Terms of Service
Version 2026-08-25
These terms govern your use of Acrebase, a contract negotiation and document analysis service (the "Service"). By creating an account or using the Service you agree to them. "You" means the person entering into these terms; if you are agreeing on behalf of an organisation, you confirm you have authority to bind that organisation, and "you" means that organisation.
The Service is provided by Acrebase, Inc., a Delaware corporation ("Acrebase", "we", "us", "our").
1. Your account
You must give accurate registration details and confirm your email address. You are responsible for activity under your account and for keeping credentials secure. Tell us promptly at security@acrebase.com if you believe an account has been compromised.
A workspace has an owner who can invite and remove members. Anyone you invite can see the documents and negotiations in that workspace. Removing a member revokes their access but does not delete work they created.
2. Trial, fees and billing
- New workspaces may start a 30-day free trial. A payment method is required to start it unless Acrebase has arranged otherwise with you; nothing is charged until the trial ends.
- During the trial you may invite as many colleagues as you like. There is no seat limit while trialing.
- After the trial, the Service is billed monthly in advance, per user. The current price, and any discount applied to your workspace, is shown in the product under Settings → Billing — visible to workspace owners and admins — unless a different price is agreed with you in writing.
- A user, shown as a "seat" there, is any workspace member who has not been disabled, including people you have invited who have not yet accepted.
- Your subscription covers the standard scope of the Service rather than everything Acrebase can do; some capabilities sit outside it. If you want access to the full product, write to support@acrebase.com and we will set up the right arrangement for you.
- Because seats are unlimited during the trial, your first invoice is based on the number of seats in use when the trial ends. Remove members before that date if you do not want to be billed for them.
- When the trial ends, the payment method on file is charged for the first month. If you cancel before then, nothing is charged. If you cancel, or a charge fails and cannot be retried, the subscription ends and access to the core features stops. Your Data is retained per section 8 so you can return.
- Adding or removing seats mid-cycle adjusts your charges on a pro-rata basis at the next invoice.
- Fees are exclusive of taxes, which you are responsible for where applicable. Payments are processed by our payment processor; we do not store your card details.
You can cancel at any time from Settings → Billing. Cancellation takes effect at the end of the current billing period, and we do not provide pro-rata refunds for a partial month unless required by law.
3. Your Data
This section defines two categories of information and sets out the rights and the limits that apply to both.
Your Content means the material you or your organisation submits to the Service or creates within it, in any form or medium and by any means of transmission, together with the output the Service directly derives from that material — including extracted text, indexes, classifications, comparisons, analyses and drafts.
Usage Records means information about how the Service is operated and used: the actions taken by people in your workspace, whether a proposal the Service generated was accepted, amended or rejected, and the technical particulars of each request.
Your Data means Your Content and Usage Records together. Output the Service directly derives from Your Data for you is itself Your Data, and carries the same rights and restrictions as the material it was derived from. This applies to any such output, whether or not the feature that produces it exists today.
What you keep
You keep all rights in Your Content. You grant us a licence to Your Data for two purposes and no others: to run the Service for you — hosting, storing, processing and transmitting it to the providers described in our Privacy Policy so the features you asked for can work — and to operate, secure and improve the Service itself.
Anonymised or de-identified copies of Your Data are still considered Your Data and still subject to the rights outlined herein. Beyond this, we may use statistics we calculate across many customers — counts, aggregate statistics, and similar measures that describe no one in particular — to improve the Service. Statistics include measurements of how the Service performed, including measurement of predictions, suggestions, or outputs we offered (including text or statistics outputs shown to you) and how reliably they held up in real use.
What we will not do
We will not train machine-learning models on Your Data. Your Data is never used as training data to fit or adjust the weights of a neural network and we do not fine-tune an existing model on it. Nor do we use Your Content to produce output for any other customer.
We will not share Your Data with third parties. We do not sell it, rent it or hand it to anyone for their own purposes.
The exceptions are set out in the Privacy Policy: the providers that host and operate the Service on our behalf, and the limited circumstances in which disclosure is required by law or accompanies a sale of the business.
Deleting Your Data
We will delete Your Data when you ask us to. Most of it you can delete yourself in the product; for anything else, write to privacy@acrebase.com and we will carry it out. Deletion is passed on to every provider holding a copy and takes effect there as soon as each one's process allows. Section 8 and the Privacy Policy give the timing, including the two places a copy can briefly outlive your request: a backup waiting on its purge cycle, and a record we are legally obliged to keep.
You are responsible for having the right to put into Acrebase whatever you put into it, including where it contains someone else's confidential or personal information.
4. Acceptable use
You agree not to:
- break the law, infringe others' rights, or upload malware;
- attempt to gain access to another workspace's data, or to probe, scan or test the security of the Service except under a written agreement with us;
- resell the Service, or use it to develop a product that competes with it, including by systematically extracting its outputs for that purpose;
- place a load on the Service that is abusive or automated beyond ordinary use.
We may suspend an account that is causing harm, security risk or material disruption. Where practical we will tell you first and give you a chance to fix it.
5. AI-generated output
Acrebase uses large language models and other AI models to summarise, classify, compare and draft text. These features are useful but they are not always correct. They can misread a clause, miss one entirely, or state something confidently that is wrong.
Output is a drafting and review aid. You are responsible for reviewing anything you rely on, and for any decision you make or document you execute. Section 6 sets out the position on legal advice.
6. Legal advice
Acrebase is not a law firm and does not provide legal advice. Under no circumstances is the Service, or anything it produces, to be understood as legal advice, and no attorney-client relationship arises from your use of it. A summary, risk score, suggested redline or market comparison is a drafting and review aid, never a legal opinion.
Where you use the Service for any purpose bearing on legal rights or obligations, you confirm that you are a qualified lawyer or are acting in consultation with one. Responsibility for every legal judgement, and for any document you execute, rests with you and your counsel.
7. Availability and support
We aim to keep the Service available and to give reasonable notice of planned maintenance, but we do not commit to a specific uptime figure unless we have signed a separate agreement that says so. Support is by email at support@acrebase.com.
8. Termination and what happens to Your Data
You may stop using the Service and close your workspace at any time. We may terminate for material breach of these terms, or for non-payment, on reasonable notice.
After termination we retain Your Data for 30 days so you can retrieve it, then delete it. You do not have to wait for that window to run: ask us at any point, before or after termination, and we will delete it then, as described in section 3. Backups are purged on their own cycle, described in the Privacy Policy.
9. Warranties and liability
The Service is provided "as is". To the extent the law allows, we exclude implied warranties of merchantability, fitness for a particular purpose and non-infringement.
Our total liability arising out of or relating to these terms is limited to the fees you paid us in the twelve months before the event giving rise to the claim, and in no circumstance shall our liability include indirect or consequential loss. Neither party excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.
10. Changes to these terms
We may update these terms. If a change materially affects your rights we will give notice by email or in the product before it takes effect. Continuing to use the Service after that date means you accept the new version. Each version is dated, so you can tell which one applies.
11. Governing law
These terms are governed by the laws of the State of Delaware, and the state and federal courts located in Wilmington, Delaware have exclusive jurisdiction over any dispute.
